Audax Renovables takes Anabel López and Rosa González
Audax Renovables (ADX.MC), the energy group that integrates the generation and marketing of 100% of renewable electricity and gas, has restructured and strengthened its Executive Board with the addition of two women to its highest leadership body. In this context, the Board of Directors of Audax Renovables unanimously approved the appointment of two new female directors, Anabel López Porta and Rosa González Sans, for the next four years.
The inclusion of female talent is in line with the best practices of good corporate governance and is reflected in the new structure and composition of the Executive Board.
Anabel López, a law graduate from the University of Barcelona and a PDG from IESE Business School with over 16 years of experience in the renewable energy and capital markets sectors, is currently responsible for the Audax Group's generation portfolio and also serves on the boards of directors of various subsidiaries within the group. She began her professional career in 1995 at the Godó Group, working in the finance and controlling departments. In 2004, she joined Fersa Energías Renovables and assumed its general management position in 2015. She led the group's divestment operation, which culminated in a takeover bid by Audax Energía, SA. She subsequently participated directly in the reverse merger operation that ultimately gave rise to the Audax Renovables Group. In addition, she was recently appointed a member of the Board of Directors and the Audit and Compliance Committee of Grupo Ezentis, SA, on behalf of Eléctrica Nuriel, a company wholly owned by José Elías.
Rosa González, with over 12 years of experience in the energy sector, specifically in energy marketing, was a founding partner of Mediaworks, SA, an advertising media center, for 11 years and has been part of the energy group Audax Energía since its inception. Throughout her career within the Audax Group, she has held senior positions in finance and human resources, giving her a comprehensive view of the company's overall business. Reporting directly to the Group's CEO, José Elías, she has participated in various corporate operations, particularly internationally, leading the development and expansion of the Audax Group in Italy from 2016 and 2017 as Managing Director of this subsidiary until 2018. She also currently serves on the Board of Directors of several subsidiaries of the Audax Renovables Group.
With the new female directors, there are now two women on Audax Renovables' highest management body, which will have six members in the future. Following this restructuring, the proportion of women is now 33%, exceeding the target of 30% set for fiscal year 2020 and approaching the 40% target set for 2022, in line with the recent revision of the Code of Good Corporate Governance.
Furthermore, the composition of the Board of Directors demonstrates that it follows the recommendations of the Code of Good Governance for Listed Companies published by the National Securities Market Commission. This applies to diversity, both in terms of education and experience, and gender (female directors represent 33% of the total number of board members) as well as independence (independent directors represent 33% of the total number of board members), resulting in a balanced board focused on the common goal of promoting the company's interest through the active contribution of all its members to value.
The appointment of the new female directors also brings changes to the various Board committees, as Anabel López is simultaneously a member of the Audit Committee and a member of the Nomination and Remuneration Committee.
It should also be noted that the Board of Directors has an independent coordinating director, as the Chairman of the administrative body is an executive director, with all the functions stipulated for this figure by the Code of Good Corporate Governance. Likewise, all advisory committees of the Management Board are predominantly composed of and chaired by independent directors.
According to José Elías, Chairman of the Board of Directors, “with the addition of Rosa González and Anabel López to the Board of Directors, we will gain greater diversity of knowledge, skills and experience, which will have a positive impact on the efficiency and quality of the Executive Board’s decisions.”
The Audax Group, which defines itself as an integrated energy company with 100% renewable generation, announced a change in its strategy a few weeks ago, focusing its efforts and resources on energy generation.
